ARBITRATION NOTICE: BY ENTERING, YOU AGREE THAT DISPUTES BETWEEN YOU AND ANY SWEEPSTAKES ENTITY WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A JURY TRIAL, CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. 1. Sponsor
The Sponsor of the Metropolis Las Vegas Parking Sweepstakes (the “Sweepstakes”) is Metropolis Technologies, Inc., located at 501 Commerce Street, Suite 1210 Nashville, TN 37203.

2. Eligibility
The Sweepstakes is open to individuals who: (i) are legal residents of the fifty United States or Washington D.C.; (ii) are of legal age in their state of residence prior to the beginning of the Sweepstakes Period; and (iii) complete the entry requirements described below. Employees, officers, directors, and agents of Sponsor, its parent companies, subsidiaries, affiliates, advertising agencies, and immediate family members (spouse, parents, siblings, children, and their respective spouses) or household members of each are ineligible.

3. Agreement to Rules. All participation in this Sweepstakes shall be governed by these Official Rules. By participating in the Sweepstakes, each participant fully and unconditionally agrees to be bound to and accepts these Official Rules and any additional terms and conditions specific to the Sweepstakes communicated by Sponsor. By participating, participants further agree to be bound to the decisions of the Sponsor (and its authorized representatives), which are final and binding in all matters. By submitting an Entry (as defined below), participants agree to be contacted by Sponsor with Sweepstakes related communications.

4. Sweepstakes Period
The Sweepstakes begins at 12:01 AM Central Time (CT) on Thursday, October 29, 2026 and ends at 11:59 PM CT on Tuesday, December 1, 2026 (the “Sweepstakes Period”). Sponsor's computer network serves as the official timekeeping device.

5. How to Enter. No purchase is necessary to enter or win. During the Sweepstakes Period, each participant shall receive one entry as follows:

• Register and Receive an Automatic Entry on the Third and Subsequent Visits: Members can register for the sweepstakes at https://www.metropolis.io/enter-to-win-las-vegas. Upon completing the third valid parking session after registration and during the Sweepstakes Period at a Participating Location, Members will be automatically entered in the Sweepstakes. Each subsequent parking session completed during the Sweepstakes Period will result in an additional automatic entry to the Sweepstakes. A valid parking session requires a continuous parking duration of at least 30 minutes at a Participating Location. Participating Locations are defined as Metropolis-operated facilities within Clark County, Nevada displaying active promotional enrollment. Certain Metropolis locations, including but not limited to those at airports and hospitals, are non-participating locations.  A list of Participating Locations can be found here: https://www.metropolis.io/enter-to-win-las-vegas#rules. For illustration, a Metropolis member who registers and then completes five (5) valid parking sessions at Participating Locations during the Sweepstakes Period would receive three (3) automatic entries to the Sweepstakes. Entries are limited to one (1) per calendar day beginning with the member’s third (3rd) valid parking session during the Sweepstakes Period.

Any entry pursuant to this method requires a membership with Metropolis, including signing up for an account with Metropolis. Information regarding account sign-up and the terms of Metropolis membership are found here: https://www.metropolis.io/membership. 

• Alternate Method of Entry (AMOE): Complete the above official online entry form during the Sweepstakes Period at https://www.metropolis.io/enter-to-win-las-vegas. Limit one AMOE entry per person per calendar day during the Sweepstakes Period. 

Automated, scripted, or duplicate entries generated by mechanical, robotic, or macro means will result in disqualification at Sponsor’s discretion.

6. Winner Selection and Odds
Four potential winners will be selected in a random drawing conducted by Sponsor on or about Tuesday, December 1 from all eligible entries received. Odds of winning depend on the total number of eligible entries received during the Sweepstakes Period. The Sponsor’s decisions are final on all matters relating to this Sweepstakes.

7. Winner Notification and Claiming
Potential winners will be notified by email at the address associated with their Metropolis account within two business days of the drawing. Potential winners must respond within five calendar days of notification. Failure to respond within this window, or the return of a notification as undeliverable, results in forfeiture at Sponsor’s discretion. Sponsor will select an alternate potential winner via random drawing from remaining eligible entries.

8. Prize Details and Restrictions
Four winners will each receive $2,500 in Metropolis parking credit that must be used within one year of issuance. Total Approximate Retail Value (ARV) of all prizes: $10,000.

• Credit Usage: Credit applies strictly to drive-in parking session fees at participating Metropolis locations in Clark County, Nevada and will be available on the prize winner’s Metropolis account only. Participating locations are defined as Metropolis-operated facilities within Clark County, Nevada displaying active promotional enrollment. Certain Metropolis locations, including but not limited to those at airports and hospitals, are non-participating locations.  A list of participating locations can be found here: https://www.metropolis.io/enter-to-win-las-vegas#rules.

• Expiration and Restrictions: Credit expires 365 days from the date of issuance or upon full exhaustion of the $2,500 amount, whichever occurs first. Prizes are non-transferable, non-assignable, and carry no cash redemption value or cash substitute. Sponsor reserves the right to cancel any prize amount, in whole or in part, upon discovering that any transfer or assignment has occurred.

• Tax Responsibilities: Winners are solely responsible for all federal, state, and local taxes associated with prize acceptance. Winners must complete and return an IRS Form W-9 before prize issuance, and Sponsor will issue an IRS Form 1099-MISC for the $1,000 prize value as required by law.

9. General Conditions and Disqualification

1. Sponsor reserves the right to cancel, suspend, or modify the promotion if fraud, technical failures, human error, or any factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the giveaway. Sponsor reserves the right to disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in an unsportsmanlike manner.

2. By choosing to participate in this Sweepstakes, each participant acknowledges and agrees that Sponsor has the right, in its sole discretion, to elect not to proceed with this Sweepstakes for any reason whatsoever or for no reason, and in such event, a participant will not be entitled to any remedy whatsoever.

3. Prizes are awarded “as is” without any express or implied warranty or guarantee from Sponsor, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Only the prizes as described herein are available to be awarded; in no event will the Sweepstakes Entities be responsible for awarding more or different prizes than stated herein. Prizes cannot be assigned, transferred, or substituted, except by Sponsor who may, at its sole discretion, substitute a prize or any part thereof with a prize of equal or greater value. Prizes are not redeemable for cash; any difference between the actual value and ARV of the prize will not be awarded as cash, or otherwise unless otherwise stated.

10. Publicity Grant
By participating in the Sweepstakes and/or accepting a prize, participants and confirmed winners as applicable grant (and agree to confirm that grant in writing) permission for Sponsor and/or Sponsor’s authorized representatives the right to use their entry, name, biographical information, likeness, image, voice, and statements for promotion, trade, commercial, and publicity purposes, at any time or times, in all media now known or hereafter discovered including television and the internet including Sponsor’s social media platforms and those of third parties whether or not connected with the Sweepstakes, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.

11. Limitation of Liability
By participating, entrants release and hold harmless Sponsor, its parent companies, affiliates, subsidiaries, property partners, and their respective officers, directors, and employees from any liability, loss, or damage arising out of participation in the Sweepstakes or the acceptance, use, or misuse of any prize. Sponsor is not responsible for technical network failures, incomplete entry transmissions, or system errors.

12. Governing Law and Disputes
All issues concerning the construction, validity, and enforceability of these Official Rules are governed by the laws of the State of Delaware, without giving effect to choice of law rules. Any legal proceedings arising out of this promotion must be instituted in the state or federal courts located in Clark County, Nevada.

13. Privacy Policy
Personal information collected during entry, including name, email address, phone number, zip code, and vehicle license plate details, is subject to Sponsor's privacy policy available at metropolis.io/privacy.

14. Disclaimers. If this Sweepstakes cannot be administered as contemplated for any reason, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes, winner selection, or prizes without prior notice.

15. Additional Terms. In case of dispute as to the identity of any participant, entry will be declared made by the Authorized Account Holder of the Metropolis account used to enter the Sweepstakes or the email generating the AMOE submission. “Authorized Account Holder” is defined as the natural person who is assigned to the account issued by the telephone service provider or telecommunications operator responsible for assigning the telephone number associated with the account. Any potential winner may be requested to provide Sponsor with proof that such winner is the Authorized Account Holder of the telephone number used to enter the Sweepstakes. The sufficiency and type of such proof is subject to Sponsor’s sole discretion.

16. Severability. The invalidity, illegality, or unenforceability of any provision of these Official Rules shall in no way affect the validity, legality, or enforceability of any other provision hereof. Any invalid, illegal, or unenforceable provision shall be deemed severed from these Official Rules and the balance of these Official Rules shall be construed and enforced as if these Official Rules did not contain such invalid, illegal, or unenforceable provision.

17. Winners List and Official Rules
To request a copy of these Official Rules or the names of the winners, send a self-addressed, stamped envelope to: Metropolis Marketing Dept., 2026 Las Vegas Sweepstakes, 501 Commerce Street, Suite 1210 Nashville, TN 37203 within 60 days following the end of the Sweepstakes Period.
